This module offers a critical understanding of corporate governance from different theoretical perspectives in a comparative context. It analyses central issues of corporate governance in different contexts and examines their implications for international business. Drawing on knowledge from economics, finance and organisational management literature, this module discusses the purpose of corporation, the underlying economic problem of corporate governance (i.e., agency conflict) and various governance mechanisms (e.g., ownership structures and board role) that could help run an organisation effectively. It furthermore explores key corporate governance issues from the perspective of both developed as well as emerging economies and engages in a comparative analysis.
