Aims

This module aims to:

Develop students’ understanding on main theories and ethical issues underlying the need for corporate governance;

Increase students’ awareness on the latest developments in corporate governance codes.;

Enhance students’ ability to assess the characteristics to corporate governance codes and guidance;

Prepare students to evaluate various corporate governance mechanisms and their impact on corporate performance;

Expand students’ knowledge on latest research and real-world cases in the area of corporate governance.

Equip students with knowledge and skills of corporate sustainability.


Learning Outcomes

(LO1) Students will be aware of main theories and ethical issues underlying the need for corporate governance around the world.

(LO2) Students will be able to critically assess the characteristics to corporate governance codes and guidance.

(LO3) Students will be able to evaluate internal governance mechanisms and their impact on corporate performance.

(LO4) Students will be able to discuss various aspect of shareholder activism, corporate governance regulation and the role of proxy advisors in the governance process.

(LO5) Students will be able to evaluate and understand the importance of sustainability and its role within corporate governance.

(S1) Ethical Awareness
Developed through in-class discussion on well-known case studies, that draws attention to various corporate governance, ethical and sustainability issues.

(S2) Problem solving
At the end of this module, students will be aware of major issues in corporate governance and the existing solutions to mitigate those concerns.

(S3) Teamwork and Communication
Developed through a case study based group work.

(S4) International awareness
Students will develop awareness on major governance problems that directors, shareholders and other stakeholders of most modern corporation are facing around the world.
