Aims

- This module examines those aspects of Company Law which provide students with an understanding of the company management structure and of the role, duties, rights and obligations of directors and shareholders. 
- The module is aimed to develop students research skills, critical awareness and to learn about emerging issues in the area .

Teaching and Learning Strategies

Teaching Method 1 - Lecture
Description: The core context of the syllabus for semester 2 will be covered in 24 hours of lectures. The first part of the module covers the company management structure. The lectures provide an examination into the statutory and common law duties and obligations of directors. The lectures then proceed to examine the different shareholder protections and remedies that are available in company law. There will be a detailed consideration of the minority protections and the module will conclude with an examination of the area of shares. Relevant theoretical and contextual perspectives will be introduced at appropriate points throughout the module.

Teaching Method 2 - Tutorial
Description: Tutorials provide the opportunity for students to develop their knowledge and understanding of the subject by combining their independent learning with that of their fellow students and lecturer in critical analysis and applicati on of the legal principles to hypothetical situations and essay style questions. The tutorials are designed for students to enhance their knowledge, understanding and application skills. The tutorials will also provide students with an opportunity to receive feedback on their progress in this module.

Self-Directed Learning Description: This is independent student study time required for the module; this time may be spent engaging in both individual and group activities.
