Aims

This module introduces students to the key concepts of "Law and Management". It provides students with the skills and knowledge to recognise and contribute to a better understanding of the impact of the law on the strategies of the firms.

A feature of the module is the emphasis on applying theories and concepts to real life problems and situations. For this purpose, we will use a series of case studies from Harvard Business School and other sources in order to facilitate group discussions on the managerial implications and issues relating to the legal organization of firms. The contact days constituting the module will involve a mix of lectures, case studies and group / individual exercises. Self-development and learning activities (non-contact) are required to complete the assessment components and to gather material for the taught sessions.

Library resources will be accessible through the module reading list and other key learning resources will be accessible through VITAL. Students will be given directed reading to support the teaching sessions as well as being expected to read more widely from the recommended literature.

Indicative Content The nature of the firm as a nexus of contracts and the notion of transaction costs Applications of the above to strategic management: Determining the "boundaries of the firm" (vertical integration, the horizontal boundaries of the firm; diversification) (Incomplete) contracts within firms: Agency relationships, the notion of employment contracts and the implications for the management of human resources (Incomplete) contracts between firms and their implications for the management of alliances, joint ventures, etc Legal institutions around the world and their importance for market entry decisions. The problem of corruption and how to deal with it The ownerships of firms: The notion of ownerships, the rights and responsibilities of owners in different legal systems; the nature of the corporation; implications for corporate governance The choice of organizational form: Legal, economic and managerial perspectives (e.g., as applied in the specific case of p rofessional service firms) Law and finance - how legal systems determine the financing options for firms
